These Terms of Service ("Terms") govern your access to and use of the Edinergy platform ("Service"), operated by [Legal Entity Name], based in Quebec, Canada. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

• You must be at least the age of majority in your jurisdiction and authorized to bind your organization.
• You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your credentials.
• You are responsible for all activity that occurs under your account.

You agree not to:

• Use the Service in violation of any law or third-party right.
• Upload content you do not have the right to submit, or that contains malware.
• Attempt to gain unauthorized access to the Service or other tenants' data.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer or resell the Service except as permitted by law.

You and your organization retain ownership of the data and documents you submit ("Customer Data"). You grant us a limited licence to host and process Customer Data solely to provide the Service, including processing through the AI subprocessors described in our Privacy Policy. You are responsible for ensuring you have the necessary rights and consents to submit Customer Data, including any personal information it contains.

The Service uses AI models to assist with energy-audit analysis. AI-generated outputs may contain errors or omissions and are provided as a decision-support aid, not as professional engineering, legal, or financial advice. You are responsible for reviewing, validating, and professionally certifying any output before relying on it or delivering it to a client. Edinergy does not replace the judgment of a qualified professional.

• Paid plans are billed through our payment processor on the cycle shown at checkout.
• Fees are non-refundable except where required by law or expressly stated.
• We may change pricing on prospective notice; changes do not affect the current paid term.
• Failure to pay may result in suspension or termination of access.

We work to keep the Service available and reliable but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features with reasonable notice where practicable.

You may stop using the Service and request account deletion at any time from Settings → Privacy. We may suspend or terminate access for breach of these Terms or where required by law. Certain records may be retained after termination as described in our Privacy Policy and retention schedule.

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind. To the extent permitted by applicable law, our aggregate liability arising out of or related to the Service will not exceed the amounts you paid to us for the Service in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The parties agree to the exclusive jurisdiction of the courts of Quebec, except where mandatory consumer-protection laws provide otherwise.

We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance.
